The US Securities and Exchange Commission (SEC) has released a series of new rules for all affected public companies, including companies headquartered or conducting business on US soil, on Cybersecurity Risk Management, Strategy, Governance, and Incident Disclosure processes.

What is the purpose of the SEC Disclosure Rules?

Standardizing the regularity and format of incident disclosures. Providing a clear and easily digestible format for future disclosures that foster decision-making for corporate investors and connected markets.

Enabling the Attorney General to measure incident severity at a glance and determine appropriate action. Bringing accountability to the forefront by evaluating the Board of Directors’ oversight that led up to the incident. Fostering continuous improvement in terms of Cybersecurity Risk Management, Strategy, Governance, and Incident handling.

What needs to be disclosed to the SEC?

  • Cybersecurity Incidents: All affected public companies are required to disclose all cybersecurity incidents within four days of discovery.
  • Risk Management and Strategy: All affected entities are required to disclose all information relating to their ongoing efforts and utilized technologies when it comes to cybersecurity risk management, strategy, and governance on an annual, preferably quarterly, basis.
