Subject to the Netwrix Corporation Partner Points Program Terms and Conditions below, when you complete training on the Netwrix Partner Portal about Netwrix Products or Services, you may receive points which you can redeem for Rewards.
Netwrix Corporation Partner Points Program Terms and Conditions
The Netwrix Corporation Partner Points Program (the “Program”) enables Eligible Partner Users to earn Rewards by completing trainings on the Netwrix Partner Portal about our Products and Services. To participate, you must agree to these Partner Points Program Terms and Conditions (the “T&C”) and our Privacy Policy.
1. Definitions.
1.1 “Netwrix Partner Portal” means Netwrix’s portal for channel partners accessible at https://www.netwrix.com/par/site/login.
1.2 “Products and Services” means those products identified at https://www.netwrix.com/products.html and related services.
1.3 “Non-Technical Training” means a training module accessible through the Netwrix Partner Portal and identified as “non-technical training”.
1.4 “Technical Training” means a training module accessible through the Netwrix Partner Portal and identified as “technical training”.
1.5 “Eligible Partner User” means someone who meets all of the following conditions:
1.5.1. any employee of a Qualified Partner who registers in the Program, agrees to these T&C, and completes Non-Technical Training or Technical Training using his/her User Account; and
1.5.2. who is not an employee of Netwrix, an immediate family member of an employee of Netwrix (namely, a parent, sibling, spouse, child, step-child, or in-law, a resident of the same household as an employee of Netwrix (whether related or not), or an employee or immediate family member of any of their affiliated companies, licensees, advertising or promotional agencies, or sponsors.
1.6. “Qualified Partner” means any of the following:
1.6.1. a direct reseller of the Products and Services who has executed a Netwrix Corporation Reseller Agreement;
1.6.2. a direct distributor of the Products and Services who has executed a Netwrix Corporation Distributor Agreement;
1.6.3. a managed service provider who has executed a MSP Addendum to Netwrix Corporation Software License Agreement;
1.6.4. a practitioner who has executed a Practitioner Addendum to Netwrix Corporation Software License Agreement;
1.6.5. a professional services partner who has executed a Professional Services Partner Agreement with Netwrix Corporation;
(each, a “Partner”) provided that, the address and, where applicable, the territory identified for the Partner on the applicable agreement is within North America and the Partner’s participation in this Program does not violate commercial or public anti-bribery laws or other applicable laws.
1.7 “User Account” means the unique account registered for by an Eligible Partner User to access the Netwrix Partner Portal.
1.8. “Reward” means an eGift Card selected from Amazon’s Specialty Gift Cards.
2. Overview of the Program.
2.1. Eligible Partner Users will earn points for each Non-Technical Training and Technical Training they complete on the Netwrix Partner Portal while logged into their User Account.
2.2. For each Non-Technical Training completed, an Eligible Partner User will earn 50 points.
2.3. For each Technical Training completed, an Eligible Partner User will earn 75 points.
2.4. Each Eligible Partner User may earn up to a maximum of 600 points.
2.5. An Eligible Partner User may redeem points for Rewards, with 1 point converting to $1 in Reward.
2.6. By taking part in the Program, you agree to:
2.6.1. comply with all applicable laws, including commercial and public anti-bribery laws; and
2.6.2. not engage in any activity that may be considered fraudulent.
3. Reward System
3.1. To redeem points for Rewards, an Eligible Partner User must complete the designated form in the Netwrix Partner Portal while logged into his/her Eligible Partner User’s User Account and provide (1) the number of points being redeemed (which number of points cannot exceed the number of points earned pursuant to Section 2.1 through 2.4 above) and (2) the selected Reward.
3.2. Upon receipt of such email, Netwrix will (1) validate the points earned by such Eligible Partner User and (2) if Netwrix confirms the points being redeemed have been earned pursuant to Section 2.1 through 2.4 above, purchase the selected Reward for the corresponding Eligible Partner User in an amount based on the number of points being redeemed.
3.3. The value of the Reward is based solely on the number of points being redeemed by the Eligible Partner User (which value will not exceed the number of points earned pursuant to Section 2.1 through 2.4 above).
3.4. If you earn a Reward, Netwrix may request certain personal details to validate your identify and you must confirm your personal details with Netwrix within 30 days from the date Netwrix confirms your Reward; otherwise, you will forfeit the Reward.
4. Taxes and Fees
4.1. If you receive a Reward under the Program, you are responsible for all applicable taxes and fees resulting from it.
5. Release of Liability
5.1. By participating in the Program, you release Netwrix Corporation and its agents from all liability, including, without limitation, all liability with respect to any and all Rewards.
6. Severability
6.1. If any provision in these terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void, or unenforceable) will be struck and will not affect the validity of and enforceability of the remaining provisions.
7. Termination and Change
7.1. Netwrix may suspend or terminate the Program or a user’s ability to participate in the Program at any time for any reason.
7.2. Netwrix reserves the right to suspend accounts in the Netwrix Partner Portal or deny any Rewards if we notice any activity that we believe is abusive or fraudulent. We reserve the right to review and investigate all Point- and Reward-generating activities and to suspend accounts or modify Points and Rewards as we deem fair and appropriate.
8. Updates to these T&C
8.1. Netwrix can update these T&C at any time without prior notice. If Netwrix modifies these T&C, we will post the modification on the Netwrix Partner Portal, and such modification is effective upon posting. Continued participation in the Program after any modification shall constitute consent to such modification.
