Netwrix Corporation Referral Program
Subject to the Netwrix Corporation Referral Program Terms and Conditions below, when you refer a new customer to Netwrix and such customer purchases Netwrix Products or Services, you will receive a reward. Your reward will be 5% of the Purchase Amount — and you are eligible to receive rewards for all Eligible Referrals.
Netwrix Corporation Referral Program Terms and Conditions
The Netwrix Corporation Referral Program (the "Program") is a long-term referral partnership that enables Qualified Users to earn a Rewards by recommending our Products and Services to Eligible Referrals. To participate, you must agree to these Referral Program Terms and Conditions (the "T&C") and our Privacy Policy.
1. Definitions
1.1. "Products and Services" means Netwrix Auditor or related services.
1.2. "Qualified User" means someone who meets all of the following conditions:
1.2.1. any user of the Products and Services, whether a customer or non-customer of Netwrix, who registers in the Program and promotes the Products and Services using his/her Referral Identification Number; and
1.2.3. who is not an employee of Netwrix, an immediate family member of an employee of Netwrix (namely, a parent, sibling, spouse, child, step-child, or in-law, a resident of the same household as an employee of Netwrix (whether related or not), or an employee or immediate family member of any of their affiliated companies, licensees, advertising or promotional agencies, or sponsors.
1.3. "Referral Identification Number" means the unique referral identification number assigned to a Qualified User by Netwrix.
1.4. "Referred User" means someone who meets all of the following conditions:
1.4.1. any potential user of the Products and Services, who is neither a current nor pending customer of Netwrix, and who is not a Qualified User;
1.4.2. who is not an employee of Netwrix, an immediate family member of an employee of Netwrix (namely, a parent, sibling, spouse, child, step-child, or in-law), a resident of the same household as an employee of Netwrix (whether related or not), or an employee or immediate family member of any of their affiliated companies, licensees, advertising or promotional agencies, or sponsors; and
1.4.3. to whom a Qualified User has referred any non-confidential information about the Products and Services using his/her Referral Identification Number.
1.5. "Eligible Referral" means the first purchase of Products and Services from Netwrix Corporation by a Referred User closed within 6 months of the date of referral and paid within 30 days of the date of invoice, excluding all additional purchases of Products and Services by the Referred User, such as renewals or add-ons.
1.6. "Purchase Amount" means the amount paid for an Eligible Referral, paid within 30 days of the date of invoice.
1.7. "Reward" means (i) an Amazon eGift Card purchased for the Amazon website in the country in which the Qualified User is located, or (ii) a re: Store, M.Video, or Yulmart Gift Card, at the option of the Qualified User, if the Qualified User is located in a country within the Commonwealth of Independent States (Armenia, Azerbaijan, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Moldova, Russian Federation, Tajikistan, Turkmenistan, Ukraine, Uzbekistan). For example, if you are located in the UK, your Amazon eGift Card would be a gift card for www.amazon.co.uk. Alternatively, if you are located in Ukraine, you would choose either a re: Store Gift Card, a M.Video Gift Card, or a Yulmart Gift Card.
2. Overview of the Program
2.1. Netwrix will provide you with a Referral Identification Number which you must add to every link you use to promote the Products and Services in order for Netwrix to associate you with the Referred User.
2.2. You can earn an Amazon eGift Card only if you refer a Referred User to Netwrix and that Referred User makes an Eligible Referral. You may be neither an agent of the Referred User nor a beneficiary of the Eligible Referral, except as anticipated by these T&C.
2.3. For each Eligible Referral, the Qualified User who referred the Eligible Referral will be awarded a Reward in the form and amount described below.
2.4. By taking part in the Program, you agree to:
2.4.1. comply with all applicable commercial and public anti-bribery laws;
2.4.2. send referral emails only to people that you know; and
2.4.3. not engage in any activity that may be considered fraudulent, invasive, or spamming.
2.5. Netwrix will provide a 5% discount on each Eligible Referral. Any subsequent purchases made by the Referred User will not qualify for such a discount.
3. Multiple Referrals
3.1. An Eligible Referral may only apply one referral link. If an Eligible Referral references referral links from multiple Qualified Users, only the corresponding Qualified User of the referral link used to commence the Eligible Referral will receive a Reward.
4. Referral Reward System
4.1. For each Eligible Referral, Netwrix will purchase a Reward for the corresponding Qualified User in an amount based on the Purchase Amount. No Reward will be given in relation to any referrals that are not Eligible Referrals.
4.2. The value of the Reward will be equal to 5% of the Purchase Amount.
4.3. A Reward will be given for each Eligible Referral you make as a Qualified User. The value of the Reward is based solely on the Eligible Referral. Any subsequent purchases made by the Referred User will not qualify for a Reward.
4.4. If you earn a Reward, you must confirm your personal details with Netwrix within 30 days from the date Netwrix notifies you of an Eligible Referral; otherwise, you will forfeit the Reward.
5. Taxes and Fees
5.1. If you receive a Reward under the Program, you are responsible for all applicable taxes and fees resulting from it.
6. Release of Liability
6.1. By participating in the Program, you release Netwrix Corporation and its agents from all liability, including, without limitation, all liability with respect to any and all Rewards.
7. Severability
7.1. If any provision in these terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void, or unenforceable) will be struck and will not affect the validity of and enforceability of the remaining provisions.
8. Termination and Change
8.1. Netwrix may suspend or terminate the Program or a user's ability to participate in the Program at any time for any reason.
8.2. Netwrix reserves the right to suspend accounts or deny any Rewards if we notice any activity that we believe is abusive or fraudulent. We reserve the right to review and investigate all referral activities and to suspend accounts or modify referrals as we deem fair and appropriate.
9. Updates to these T&C
9.1. Netwrix can update these T&C at any time without prior notice. If Netwrix modifies these T&C, we will post the modification on the Netwrix Corporation website, and such modification is effective upon posting. Continued participation in the Program after any modification shall constitute consent to such modification.
